Terms of Service

These Terms of Service ("Terms") govern your access to and use of Forkly (the "Service"), developed and operated by N.E.G. DIGITAL SNC, Via Albrecht Dürer 15, 39100 Bolzano (BZ), Italy — VAT 02712430228 (the "Provider" or "N.E.G. Digital"). By using the Service, you agree to these Terms in full. If you do not agree, please do not use the Service.

1. Service description

Forkly is software developed by N.E.G. Digital that lets restaurants create and manage a digital, multilingual menu accessible via QR code. The Service is provided free of charge and "AS IS", without any express or implied warranty.

2. Registration and account

To access restricted features, you must register an account providing truthful and up-to-date information. You are responsible for keeping your credentials confidential and for all activity on your account. You must be at least 18 years old and legally capable of entering into binding contracts.

3. Acceptable use

  • Use the Service in compliance with applicable law and these Terms.
  • Do not upload illegal, offensive, defamatory, or infringing content.
  • Do not use the Service for fraud, spam, phishing, or distributing malware.
  • Do not attempt unauthorized access, reverse engineering, scraping, or DoS attacks.
  • Provide accurate allergen and food information in compliance with Regulation (EU) 1169/2011.

4. User content

You retain all rights to content you upload. By uploading, you grant N.E.G. Digital a non-exclusive, worldwide, royalty-free license limited to what is necessary to provide the Service (storage, display, machine translation, public distribution via the digital menu).

You represent that you own all rights in the uploaded content or have the necessary authorization, and you indemnify N.E.G. Digital against any third-party claims.

5. AI machine translation

The Service includes AI-powered translation via third-party LLMs. Translations are provided without any accuracy guarantee. You are required to verify and correct translations before publishing, particularly for allergens, ingredients, and nutritional information. N.E.G. Digital disclaims any liability for translation errors or their consequences.

6. Restaurant responsibility

The restaurant is the sole and exclusive party responsible for information published on its digital menu, including:

  • accuracy of prices, descriptions, and ingredients;
  • correct allergen disclosure per Regulation (EU) 1169/2011;
  • compliance with tax and health regulations;
  • order handling and customer relations;
  • processing of its end customers' personal data.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED FREE OF CHARGE AND "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, N.E.G. DIGITAL MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO AVAILABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF CONTENT OR TRANSLATIONS, OR SECURITY OF UPLOADED DATA.

8. Limitation of liability

Because the Service is provided free of charge, under Italian Civil Code Art. 1229 and applicable law, N.E.G. Digital is liable only for willful misconduct or gross negligence. To the maximum extent permitted by law, N.E.G. Digital shall not be liable for:

  • indirect, incidental, or consequential damages, loss of profit, goodwill, data, or business opportunities;
  • Service interruptions, malfunctions, data loss or corruption, including those caused by third-party providers (hosting, database, LLM, payments);
  • damages arising from user- or third-party-uploaded content;
  • AI translation errors or incorrect allergen, ingredient, price, or nutritional information;
  • damages arising from the relationship between the restaurant and its end customers, including orders, payments, and delivery;
  • unauthorized access, theft, alteration, or destruction of data by third parties.

If the above limitation is not enforceable, N.E.G. Digital's total liability shall not exceed EUR 50.

9. Service changes and suspension

N.E.G. Digital reserves the right to modify, suspend, or discontinue the Service at any time, in whole or in part, without notice and without liability.

10. Termination

You may delete your account at any time. N.E.G. Digital may suspend or terminate your account for breach of these Terms without notice. Upon termination, your content may be deleted, subject to any legal retention obligations.

11. Intellectual property

The "Forkly" brand, software, design, logos, and all other Service elements are the exclusive property of N.E.G. DIGITAL SNC and protected by intellectual property law.

12. Payments (optional feature)

The Service may include payment features provided via Stripe. Stripe's terms apply to those transactions. N.E.G. Digital does not hold or process funds; Stripe is an independent controller for payment data.

13. Governing law and jurisdiction

These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Bolzano, Italy, without prejudice to mandatory consumer jurisdiction rules where applicable.

14. Changes to the Terms

N.E.G. Digital may update these Terms at any time. Changes take effect upon publication on this page. Continued use of the Service constitutes acceptance of the updated Terms.
